Terms of Service

These Terms of Service (the "Agreement") govern the purchase and use of the WISECP software developed by WISECP Limited Liability Company ("WISECP LLC") and of the related products and services offered through wisecp.com. The Agreement is permanently available on wisecp.com. Anyone who obtains, rents or uses a license, including trial editions, is deemed to have read, understood and accepted these terms.

Parties and Definitions

The Agreement is concluded electronically between WISECP LLC and the Customer as defined below.

  • WISECP LLC: WISECP Limited Liability Company, the owner of the WISECP brand and of all intellectual and industrial property rights in the software.
  • WISECP (the Software): A self-hosted automation and client management platform built for businesses that sell hosting, domains, servers, software and other digital services, installed and operated on the customer's own server.
  • wisecp.com: The official website where the Software is presented and where license sales, the customer account and support services are provided.
  • Customer: The natural or legal person who obtains the license in their own name or on behalf of the organization they represent.
  • Installation: The copy of the Software running on the Customer's server, activated by a License Key.
  • License Key: The unique key that validates the Installation and is locked to the installation's domain name, server IP address and installation directory.

Subject and Scope

The subject of the Agreement is the acquisition, use and renewal of WISECP software licenses, together with the terms for updates, technical support and additional products and services. The scope covers all licenses defined in the Customer's wisecp.com account and the additional products and services attached to them. Hosting services and custom module and add-on development services offered alongside the software license are also subject to this Agreement and to the specific terms set out in the relevant sections.

WISECP is software that runs on your own server. The data created in your Installation (your clients, services and invoices) lives on your own infrastructure; WISECP LLC does not access it, and the Customer is responsible for its processing.

Grant of License

For each paid license, WISECP LLC grants the Customer a non-exclusive, non-sublicensable right of use limited to the terms of this Agreement. Ownership of the Software and all rights in its source code remain with WISECP LLC.

  • Each license is valid for a single Installation. The License Key is locked to the installation's domain name, server IP address and installation directory, and does not operate outside them. An additional installation requires a separate license.
  • Plan tiers (Starter, Pro, Business) and the features they include are as published on the wisecp.com pricing page. No plan limits the number of clients or service records; plans differ in feature scope only.
  • For license validation, the Installation periodically communicates with WISECP LLC's licensing servers. Blocking or manipulating this validation constitutes a license violation.

License Terms

  • Monthly and annual licenses operate on a recurring basis and expire at the end of the period unless renewed. Updates and technical support are free of charge for the duration of use.
  • Lifetime licenses are obtained with a one-time payment and do not expire. Updates and technical support are included for the first year and continue afterwards through annual renewal. If not renewed, the right to use the license does not end; only access to new releases and support is paused.
  • Trial and free licenses may be offered with their scope and conditions published on wisecp.com. WISECP LLC reserves the right to change or withdraw these offerings; an expired trial ends without further notice.

Attribution

On the Starter plan, the visitor-facing interface of the Software displays a "Powered by WISECP" notice; removing, hiding or obstructing this notice is a license violation. On the Pro and Business plans, the client area can be operated fully under the Customer's own brand. The WISECP logo and copyright information inside the admin panel remain in place by default; with the purchase of the Whitelabel admin package, the Customer's own logo and colors can be applied to the admin panel as well, the copyright notice is hidden, and the admin panel takes on the Customer's brand entirely.

Account and Security

The Customer must provide accurate and current information when creating a wisecp.com account and keep it up to date. Actions performed through the account and panel are deemed to have been performed by the account holder unless proven otherwise.

  • The confidentiality of account credentials is the Customer's responsibility. Keeping two-factor authentication enabled is recommended.
  • No person or organization may create more than one customer account. Where multiple accounts are detected, the accounts and the paid and free services attached to them may be closed.
  • WISECP LLC cannot be held liable for damages arising from the sharing of account or license credentials with third parties.

Fees, Payment and Renewal

License and service fees are the current amounts published on wisecp.com and are paid in advance at the time of purchase. Applicable taxes are shown on the payment page and added to the total.

  • Renewal invoices for recurring licenses are issued before the end of the period and can be viewed in the client panel.
  • Recurring licenses left unpaid past their due date are suspended. While suspended, a license notice may be displayed in the software's admin panel interface; no license notice is shown on the software's visitor-facing front interface. Suspended or cancelled software is subject to functionality restrictions. If payment is still not made within a reasonable time, the license is cancelled.
  • For lifetime licenses, the update and support term is renewed after the first year at the Customer's option, for an annual fee.
  • WISECP LLC may change its prices with future effect; changes do not affect the fee of the current period.

Plan, Billing Cycle and License Detail Changes

  • The Customer may upgrade or downgrade the plan, or switch between monthly, annual and lifetime options. These operations are carried out through the customer account and require no reinstallation.
  • The details the License Key is locked to (domain name, server IP address and installation directory) can be updated free of charge through the customer account by reissuing the key, useful when moving or rebuilding a setup. Reissue may not be used to effectively let a third party use the license or to resell it; if abuse is detected, this facility may be restricted and the license cancelled.

License Transfer

  • Recurring (monthly/annual) licenses cannot be transferred to third parties.
  • The transfer of lifetime licenses is an exceptional procedure subject to WISECP LLC's approval; the current transfer conditions and any transfer fee are announced on wisecp.com. A completed transfer cannot be reversed.
  • No transfer is made to persons or organizations that have previously violated this Agreement. WISECP LLC may reject transfer requests it does not deem appropriate without stating a reason.
  • De facto transfers made by sharing account credentials or changing account identity details are prohibited; upon detection, the account and its licenses may be cancelled.

Refunds and Cancellation

  • If WISECP is not the right fit, you may request a refund within 30 days of your first purchase and your payment will be returned, no questions asked. The 30-day money-back guarantee applies to customers who install and experience the software for the first time and are not satisfied for any reason; no refund is issued under this guarantee to those who have used the software before.
  • The refund guarantee ends at the close of the 30-day period. After that period, no refund is issued for any license type, including lifetime licenses, on the grounds that a feature, function, integration or module is not present in the Software. The absence of a feature does not make the Software incomplete or defective; the Customer is responsible for assessing, before purchase, whether the Software fits their needs through the trial edition, product materials and pre-sales support.
  • After the 30-day period, a refund is considered only where an issue originating from the Software itself substantially prevents its use and cannot be remedied. A feature, functionality, integration or module that is not present in the Software cannot be regarded as an issue preventing its use. In line with established software industry practice, software issues are resolved within the update and release cycle; the fact that an issue which can be fixed in an upcoming release is not fixed immediately does not constitute grounds for a refund, and the release containing the fix is to be awaited.
  • Additional services already performed (such as installation, configuration or data migration) and products belonging to third-party developers are excluded from refunds.
  • If a recurring license is cancelled mid-term, no refund is issued for the remaining time, without prejudice to the 30-day guarantee; the license remains usable until the end of the period.
  • Refund and cancellation requests are submitted from the relevant service detail page in the client panel.

Technical Support

Every plan includes the right to open support tickets for the standard operation of the platform. The Business plan additionally includes priority support. Support requests are submitted through the support system in the wisecp.com customer account. Each reply may be sent within an average of 24 hours depending on demand; no guarantee or commitment is given to reply, or to provide support, within any particular time frame.

The following are outside the scope of standard support and are treated as paid services or third-party responsibility:

  • Managing the Customer's server, meeting system requirements and issues originating from the server,
  • Issues caused by third-party modules, themes and integrations,
  • Issues caused by unauthorized or faulty modification of the Software files; the remedy in this case is restoring the original files and database,
  • Custom development, module and customization requests; these are subject to the terms in the "Custom Module and Add-on Development" section.

Updates

WISECP LLC publishes updates and new releases of the Software from time to time. Updates are applied through the update center in the admin panel. WISECP LLC makes no commitment regarding the content, scope or schedule of updates. Taking a backup before applying an update is the Customer's responsibility.

Customer Obligations and Acceptable Use

  • The Customer must provide and maintain a server environment that meets the system requirements published on wisecp.com.
  • Backing up Installation data is the Customer's responsibility unless expressly undertaken as part of an announced service.
  • The Software may not be used for activities that violate applicable law, infringe the rights of third parties or serve malicious purposes.
  • Conduct that damages the commercial reputation of WISECP LLC, its other customers or WISECP products, and disrespectful or abusive behavior towards support staff, constitute a breach of the Agreement. In such cases WISECP LLC reserves the right to limit support and to close the account, refunding the unused portion of the services.

Third-Party Integrations

The Software ships with ready-made integrations for third-party services such as payment providers, server control panels and domain registrars. Disruptions caused by changes or outages in those services' own infrastructure are not WISECP LLC's responsibility, and WISECP LLC does not guarantee their uninterrupted operation.

Hosting Services

WISECP LLC may also offer hosting and server services through wisecp.com. The scope, resource limits and fee of the service are published on the relevant service page at the time of ordering. Hosting services operate on a recurring basis; the fee, renewal and suspension provisions of this Agreement also apply to these services.

  • Hosting services are provided solely for hosting the WISECP software; they may not be used for any other purpose. Applicable laws and regulations govern the use of the service.
  • Hosting services may not be used to host content that violates applicable law, to send unsolicited bulk email (spam), to distribute malware, or to consume resources in a way that degrades the service of other users. In case of violation, the service may be suspended without notice.
  • Unless expressly stated as part of the service, backing up data is the Customer's responsibility. Data belonging to an expired or cancelled service is deleted after a reasonable holding period.
  • WISECP LLC announces planned infrastructure maintenance in advance; uninterrupted access is not guaranteed unless a published service level commitment exists.

Custom Module and Add-on Development

The Customer may request the development of custom modules, add-ons and adjustments tailored to their needs. Custom development services are charged separately; the scope, timeline and fee are set in the quote given for the work.

  • The Customer is granted a right of use for the delivered custom work; the source code and intellectual property rights remain with WISECP LLC unless agreed otherwise in writing.
  • An undertaking not to offer similar functionality to other customers can only be given in a separate written exclusivity agreement.
  • Compatibility of custom work with future releases of the Software is not guaranteed; adjustments required by version upgrades may be charged separately.
  • Work commissioned from third-party (certified) developers reached through wisecp.com is subject to the terms of the developer concerned; WISECP LLC is not a party to such work.

Additional Products and Services

Unless stated otherwise, the license granted for additional products offered through wisecp.com (modules, themes, add-ons and similar) is limited to a single Installation. Additional products may not be used in other projects, resold, transferred, or distributed for a fee or free of charge. For products belonging to third-party developers, the developer terms stated on the product page also apply. Violation of these restrictions results in suspension or cancellation of the product concerned.

Intellectual Property

  • All intellectual and industrial property rights, including the WISECP software, its source code, visual design, brand and logo, belong to WISECP LLC and are protected under national and international law.
  • The Software may not be reproduced, published, copied or distributed without permission. Reverse engineering of the code is prohibited; encrypted code may not be exposed.
  • The license grants the Customer a right of use only and does not transfer any intellectual property right.

Changes to the Agreement

WISECP LLC may amend this Agreement in whole or in part. Amendments take effect on the date they are published on wisecp.com; material changes are additionally announced through the client panel. Continued use of the service after a change constitutes acceptance of the current terms.

Notices

Notices between the parties are made through WISECP LLC's published email address and the email address registered in the Customer's account. The Customer accepts that the registered email address is a valid notification address, undertakes to update it without delay when it changes, and accepts that notices sent to it are otherwise deemed valid.

Governing Law and Disputes

This Agreement is governed by the laws of the United States and of the State of Delaware. The courts of the State of Delaware, United States, have jurisdiction over disputes arising from the application or interpretation of the Agreement.

Entire Agreement and Severability

If any provision of this Agreement becomes partly or wholly invalid, the remaining provisions continue in full force.
